Terms of Service

These Terms of Service ("Terms") govern your access to and use of LalajiERP, an ERP software platform ("the Service") developed and operated by Comprog Technology Private Limited, a company incorporated in India under CIN [CIN NUMBER] ("Comprog", "we", "us", or "our"). The Service is accessible at lalajierp.com.

By registering for or using LalajiERP, you ("Customer", "you") agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to do so.

1. The Service

LalajiERP is a business management software platform that provides tools including sales, purchase, inventory, expense tracking, agent management, and reporting functionality for Indian businesses.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to registered users.

2. Accounts and Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at support@comprogtech.com of any unauthorised use of your account.
• One account may represent one business entity (tenant). Multiple locations or branches may be managed within a single account depending on your subscription plan.

3. Subscription Plans and Payment

• LalajiERP is offered under subscription plans as described on our pricing page at lalajierp.com.
• Free plan features are limited as described at the time of registration.
• Paid plans are billed in advance on a monthly or yearly basis.
• All prices are in Indian Rupees (INR) and inclusive of applicable GST unless stated otherwise.
• Payments are non-refundable except as required by applicable law or as described in our refund policy.
• We reserve the right to change subscription pricing with 30 days' notice to existing subscribers.
• Failure to pay may result in suspension or termination of your account.

4. Free Trial

Paid plans may include a free trial period as indicated during registration. At the end of the trial period, you will be required to subscribe to a paid plan to continue using paid features. We reserve the right to modify or discontinue free trials at any time.

5. Acceptable Use

You agree not to use LalajiERP to:

• Violate any applicable law or regulation, including Indian GST, income tax, or other statutory requirements.
• Enter false, fraudulent, or misleading business data.
• Attempt to gain unauthorised access to the Service, its infrastructure, or other users' data.
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
• Resell, sublicense, or otherwise commercialise access to the Service without our written consent.
• Upload or transmit malicious code, viruses, or harmful content.

6. Your Data

• You retain full ownership of all business data you enter into LalajiERP.
• You grant us a limited licence to store, process, and display your data solely to provide the Service.
• You are responsible for the accuracy and legality of all data you enter.
• We will not access your business data except for the purpose of providing technical support (with your consent), legal compliance, or as described in our Privacy Policy.

7. Intellectual Property

LalajiERP, including all software, design, trademarks (including the registered trademark "LalajiERP"), and content, is the exclusive property of Comprog Technology Private Limited. Nothing in these Terms transfers any intellectual property rights to you.

You may not use the LalajiERP name, logo, or trademark without our prior written permission.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties, except as required by law or with the other party's prior written consent.

9. Service Availability and Support

• We aim for high availability but do not guarantee uninterrupted access to the Service.
• Scheduled maintenance will be communicated in advance wherever possible.
• Support is provided via email at support@comprogtech.com. Response times vary by plan.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind.
• Comprog Technology Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of or inability to use the Service.
• Our total aggregate liability to you for any claims arising out of or related to these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Comprog Technology Private Limited and its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

• You may terminate your account at any time by contacting us.
• We may suspend or terminate your account immediately for breach of these Terms, non-payment, or illegal use.
• Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before initiating legal proceedings, the parties agree to attempt good-faith resolution through written notice and a 30-day negotiation period.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
